Anthropic Governance Structure Limits Common Shareholder Control Ahead of IPO
· Technology · TechCrunch
As frontier AI lab Anthropic approaches its initial public offering, the company has established a complex corporate governance structure that leaves common shareholders with little say over major decisions. The company operates as a public benefit company with a board chaired by president Daniela Amodei and including CEO Dario Amodei, Netflix cofounder Reed Hastings, and other leaders. Control is further distributed to a Long Term Benefit Trust that holds Class T stock to elect and remove a majority of the board, chaired by Neil Shah with members including former Federal Reserve chair Ben Bernanke. Additionally, Anthropic's seven founders jointly own a special stock class granting 50.1 percent of shareholder voting power to elect three board members. The board also retains limited power to check the trust's nominations under specific conditions.
Why it matters
Public market investors who buy Anthropic stock will have virtually no voting power over board composition or major corporate decisions, as control remains split between founders, an independent trust, and the board.
